Terms of Service
Effective date:
These Terms govern your use of the WarpSearch website, hosted search service, console, APIs and MCP integration supplied by BigData Boutique ("WarpSearch", "we", "us"). "You" means the person or organization using the service. Contact: hello@warpsearch.io.
#Agreement and eligibility
By creating an account, accepting these Terms through a service flow, or using the service after being presented with these Terms, you agree to them. If you act for an organization, you represent that you have authority to bind it. You must be at least 18, able to enter a binding agreement and permitted by applicable law to use the service. If you do not agree, do not create an account or use the hosted service.
A signed order or separately negotiated agreement controls if it expressly conflicts with these Terms. A signed data processing agreement controls its subject matter. Open-source components and public datasets retain their own licenses. The Privacy Policy explains personal-information handling; acknowledging it is not consent to optional tracking.
#The service and your account
WarpSearch provides hosted indexing and search, including keyword, vector and hybrid search and supported compatibility interfaces. Features, limits and availability are described in the current documentation, pricing and any order. Compatibility does not mean that every feature of another product is supported. Preview features, examples, performance demonstrations and roadmap statements are not guarantees of availability, compatibility or particular results.
Provide accurate account and billing details, keep your contact email current and protect passwords, sessions and API keys. You are responsible for users, integrations and agents you authorize and for their use of your organization, including usage charges. Choose the minimum permissions needed and revoke credentials promptly when no longer needed. Tell us promptly about unauthorized access. We may verify account information and apply reasonable security or anti-abuse restrictions.
An agent or MCP client may request access, but you remain responsible for reviewing and approving its permissions. We do not control the agent's prompts, decisions or external provider. Authorizing an agent can allow it to read, write or delete data within the permissions you grant.
#Customer Data, ownership and confidentiality
You retain your rights in documents, vectors, queries and other content you submit ("Customer Data"). You grant us only the rights needed to host, copy, transmit, index, search and otherwise process it to provide and secure the service, follow your instructions and meet legal obligations. This permission does not authorize us to sell Customer Data or train a general-purpose AI model on it.
You are responsible for the legality, accuracy and permitted use of Customer Data, the notices and permissions required to provide it, and the instructions given by your organization. Do not upload regulated data that requires safeguards or contractual terms we have not expressly agreed to provide. In particular, arrange any necessary data processing agreement and residency terms before uploading such data. The public website policy alone is not a GDPR Article 28 processing agreement, a HIPAA business associate agreement or an assurance of regulatory certification.
Each party will protect the other's non-public business, technical and customer information using reasonable care, use it only for the service relationship, and disclose it only to people or providers who need it and are subject to appropriate confidentiality obligations. This does not cover information that is public without breach, already lawfully known, independently developed or lawfully received without restriction. A party may comply with legally compelled disclosure, giving notice where permitted.
Keep independent copies of important data. You control what to index, export and delete through supported interfaces. Deletion, plan changes or account closure may make indexed data unavailable; backup retention and legally required records may follow different schedules. Contact us before termination if you need assistance retrieving data. No specific recovery period or restoration guarantee applies unless agreed in writing.
#Acceptable use
You may use the service in your own applications and authorized business workflows, including automated API and agent workflows, subject to your plan. You must not:
- Violate law, another person's privacy or intellectual-property rights, or applicable export restrictions and sanctions.
- Upload malware, steal credentials, gain unauthorized access, evade access controls, or probe other customers' information.
- Disrupt shared infrastructure, bypass usage limits or billing, create accounts to circumvent free-tier limits, or conduct disruptive load or security testing without prior agreement.
- Use the service for unlawful surveillance, fraud, spam or other abusive activity.
- Misrepresent our service, remove required attribution from third-party content, or reverse engineer proprietary components except where applicable law permits it despite this restriction.
Responsible reports of suspected vulnerabilities are welcome at hello@warpsearch.io. Do not access or retain another person's data or disrupt service while investigating. We may investigate suspected misuse and take proportionate protective action.
#Plans, fees and cancellation
Free, trial and paid plans have the limits and charges stated when you select them, in the pricing documentation, or in your order. Usage-based charges, minimum commitments, any recurring subscription, currency, billing period and taxes are governed by that selection or order. Choosing a free plan does not by itself authorize paid charges. Do not assume that stopping queries stops storage charges or cancels a paid commitment.
You must pay undisputed fees when due under the applicable billing terms and are responsible for taxes other than taxes on our net income. Contact us promptly with a good-faith billing dispute so we can investigate. We do not impose a contractual deadline that removes rights provided by mandatory law. Fees for service already used are normally non-refundable, except for billing errors, an express refund commitment or applicable law.
You may request cancellation or account closure through available account controls or hello@warpsearch.io. Cancellation stops future renewals according to the applicable order or plan; accrued usage and an already agreed billing period remain payable unless your agreement or law says otherwise. We will tell you the effective cancellation date and any data-access consequences. A fixed-term enterprise commitment may have different termination terms.
Price changes apply prospectively. We will provide notice of a material change to an existing paid plan before it takes effect, allowing you to cancel before the changed terms apply, subject to an existing fixed-term order. We will not retroactively change agreed charges for usage already incurred.
#Free tiers, previews and third parties
Free and preview features may have lower priority, capacity limits, breaking changes and no service-level commitment. Free-tier inactivity deletion is described in the pricing documentation. Do not rely on a free or preview collection as your only copy of important information. Paid availability or support guarantees apply only if expressly stated in your agreement; general descriptions of speed or scale are not an SLA.
Public demos use third-party datasets and are for evaluation. Do not submit secrets, confidential information or personal data in demo queries. Some demo searches call an external embedding service. Dataset licenses, source terms and third-party rights continue to apply to results; access through a demo does not grant a separate license to reuse them.
Identity providers, coding tools, models, external agents and third-party integrations are independent services subject to their own terms. You decide whether to connect them and what they can access. For a bring-your-own-cloud deployment, infrastructure responsibilities, access, charges and support must be set out in the applicable agreement.
#Our intellectual property
We and our licensors retain rights in WarpSearch software, branding, documentation and service design. Subject to these Terms, you may access and use the service and use documented examples to integrate your applications. No ownership of our proprietary technology is transferred. Open-source licenses control the components they cover. If you voluntarily provide product feedback, you permit us to use it to improve the service without an obligation to compensate you; this permission does not expand our rights in Customer Data.
#Suspension and termination
We may restrict access when reasonably necessary to address a security incident, unlawful or harmful use, non-payment of undisputed overdue charges, or a material breach. Where practical, we will notify you, explain the issue and give a reasonable opportunity to remedy it. Immediate action may be needed to prevent harm or comply with law. Restrictions should be limited to what the circumstances require.
Either party may terminate for a material breach that is not remedied within a reasonable period after written notice, or where continued performance would be unlawful. We may discontinue a service with reasonable advance notice where practical. If we discontinue a prepaid paid service for reasons other than your breach, we will refund the unused prepaid portion unless your negotiated agreement provides an alternative remedy. Termination does not remove accrued payment obligations, confidentiality, ownership or provisions intended to survive it.
#Warranties and liability
We will provide the paid service with reasonable skill and care. Except for commitments expressly stated in your agreement and rights that cannot legally be excluded, the service is provided "as is" and "as available". We do not promise that it will be uninterrupted, error-free, suitable for every purpose, or that every search result will be accurate or complete. You are responsible for evaluating outputs and the suitability of your application, particularly for decisions affecting people.
To the extent permitted by law, neither party is liable under these Terms for indirect or consequential losses, lost profits, lost business opportunities or loss of goodwill. Each party's aggregate liability arising from the service is limited to the greater of USD 100 and the fees paid or payable by you for the affected service in the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, death or personal injury caused by negligence where liability cannot be excluded, or any other liability that applicable law does not permit to be limited. They do not excuse your obligation to pay agreed fees. A negotiated agreement may set different limits. Nothing in these Terms restricts mandatory consumer or data-protection rights.
#Governing law, notices and changes
If your signed agreement specifies governing law or courts, those provisions apply. Otherwise, governing law and jurisdiction are determined by applicable law. Mandatory laws and rights that apply to you continue to apply. Before starting a dispute, please contact hello@warpsearch.io so the parties can try to resolve it in good faith; this does not prevent urgent protective relief or a complaint to a competent regulator.
We may send service and legal notices to your account contact address and publish relevant changes on this site. We will give reasonable advance notice of material contractual changes affecting existing customers, unless a change is needed sooner for law or urgent security. Material changes apply prospectively. Where consent or express acceptance is required, continued browsing alone does not replace it. If you do not accept changed terms, stop using the affected service and contact us about cancellation before they take effect, subject to your existing agreement.
If a provision is unenforceable, the remaining provisions continue to apply to the extent lawful. A failure to enforce a right is not a waiver. Neither party may transfer this agreement in a way that materially reduces the other's protections; an assignment with a merger or transfer of the relevant business is permitted if the successor assumes the obligations. Events beyond reasonable control may excuse delayed performance, except accrued payment obligations. These Terms and any applicable order or signed agreement form the agreement for the service; mandatory legal rights remain unaffected.
